Senior Counsel will report to ImageFIRST’s General Counsel and will be responsible for providing legal support to assigned business clients including Sales and Procurement Departments. Senior Counsel will primarily be responsible for drafting various commercial agreements and providing general corporate and commercial law advice to business clients, but will also have other various responsibilities, including dispute resolution and litigation management.

Responsibilities & Qualifications

  • Contract Drafting and Review: Work closely with functional/business teams (engineering, procurement, sales, information technology) to draft, review/revise, negotiate, a wide variety of agreements including but not limited to Service Agreements, Statements of Work, NDAs, agreements related to data privacy/security, and agreements with vendors, customers, logistics providers, supply chain, procurement and other commercial agreements.
  • Dispute Resolution and Litigation: Advise regarding commercial dispute resolution.  Respond to subpoenas and demand letters.  Manage internal litigation preparation and coordinate with outside counsel and/or internal business partners in connection with the defense of legal matters.   
  • Provides support to the General Counsel and staff on various matters as needed, including corporate governance, labor and employment, compliance, tracking departmental metrics, and researching and implementing best practices and operational efficiencies.
  • Legal Research and Analysis: Conduct comprehensive legal research and analyze relevant laws and regulations to provide informed legal advice.
  • Compliance: Support the execution of compliance programs and monitor adherence to applicable laws and industry regulations.
  • Risk Assessment and Mitigation: Identify and evaluate potential legal risks in business transactions and develop strategies to reduce liability and ensure compliance.
  • Advisory Support: Provide timely and practical legal counsel to departments across the organization to support business decisions and resolve issues.

MINIMUM QUALIFICATIONS:

  • A “Can Do” attitude and a willingness to roll up your sleeves to pitch-in on projects of varying complexity. Be willing to expand legal responsibilities beyond this job description and into other areas of law and take on additional administrative responsibilities and assignments.
  • Juris Doctorate from an ABA accredited law school and membership in at least one state bar.
  • Have at least 5 years of relevant business / commercial practice experience in a top tier law firm or as in-house counsel in a law department.
  • Proactive, solution and business-oriented mindset with risk/reward approach.
  • The ability to communicate, distill and simplify complex legal issues and risks and translate them into terms that non-legal colleagues can understand.
  • Negotiation Skills to support effective contract development and resolution. Ability to influence and develop strong relationships with internal clients.
  • Work independently, organize, and accurately prioritize work, be detail-oriented, understand when urgency is required and use good judgment in varied situations.
  • Ethical Judgment to uphold the highest standards of integrity.
